Terms of Service

Roomify™ is a product of Avemtis Properties, LLC, a Texas limited liability company (“Roomify”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the Roomify mobile application, our website at https://roomifyapp.ai, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. What Roomify does

Roomify transforms user-provided photos into AI-enhanced real estate marketing images. Roomify is a software platform only. Roomify is not a real estate broker, agent, appraiser, architect, engineer, photographer, staging company, attorney, lender, escrow company, title company, tax advisor, or provider of professional services. The Services are intended solely to assist users in creating enhanced marketing materials for legitimate real estate purposes.

2. Eligibility and accounts

You must be at least eighteen (18) years old to use the Services. You may create an account through email or other approved authentication methods. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to provide accurate and current account information.

3. User content and photos

You retain ownership of all photos, images, listings, and content you upload to Roomify. By uploading content, you grant Roomify a limited, non-exclusive, worldwide license to:

Process uploaded content through OpenAI and other service providers.
Store original and enhanced versions.
Display the content within the Services.
Provide requested enhancements and related functionality.
Maintain backups for operational and security purposes.

This license terminates when the content or account is deleted, except where retention is required for legal, operational, backup, fraud-prevention, or security purposes.

4. AI-enhanced photos

Roomify-generated images are AI-enhanced versions of user-provided photos. Enhancements may include lighting adjustments, color correction, minor clutter reduction, and visual optimization for marketing purposes. AI-generated outputs may contain inaccuracies, omissions, distortions, artifacts, or unexpected results. Users are solely responsible for reviewing all outputs before publication, distribution, or commercial use. Roomify does not guarantee that AI-generated content is accurate, compliant, suitable, or appropriate for any particular purpose.

5. MLS, brokerage, and regulatory compliance

Users are solely responsible for compliance with MLS rules, National Association of REALTORS® (NAR) guidelines, brokerage policies, state and federal advertising laws, licensing regulations, disclosure requirements, and local real estate regulations. Roomify does not guarantee compliance with any MLS, brokerage, legal, regulatory, or disclosure requirements. Users remain solely responsible for the accuracy, legality, and use of any content created through the Services.

6. No professional advice

Roomify is a technology platform only. Roomify does not provide real estate, brokerage, legal, tax, accounting, appraisal, architectural, engineering, construction, inspection, title, escrow, lending, investment, or other professional advice. Any information, recommendations, AI outputs, enhancements, or materials generated through the Services are provided solely for informational and marketing purposes. Users should consult qualified professionals before making decisions relating to real estate transactions, property valuation, legal compliance, construction, design, financing, taxation, or investment activities.

7. Property representation

Roomify enhances marketing images but does not certify, verify, or guarantee the condition, features, dimensions, value, legality, habitability, safety, or characteristics of any property. Users remain solely responsible for ensuring that all marketing materials accurately represent the property being advertised and comply with applicable laws, regulations, MLS requirements, and brokerage standards. Roomify shall not be responsible for claims arising from inaccurate, misleading, incomplete, or non-compliant property representations.

8. Acceptable use

You may not:

Upload content you do not own or have authority to use.
Misrepresent a property in a misleading or deceptive manner.
Upload illegal, unlawful, or infringing content.
Upload non-consensual imagery.
Upload content involving minors in violation of applicable laws.
Reverse engineer, scrape, copy, bypass, or interfere with the Services.
Attempt to circumvent pricing, subscriptions, credits, or usage limits.
Use the Services in violation of applicable law.

Roomify may suspend, restrict, or terminate accounts at its sole discretion for violations of these Terms.

9. Payments and refunds

Roomify may charge fees for listings, subscriptions, credits, or other features. Pricing is displayed within the App and may change at any time. Payments processed through Apple are subject to Apple’s terms and conditions. Refund requests for Apple purchases must be submitted through Apple’s refund process. Roomify may, but is not obligated to, provide additional credits, re-runs, or accommodations at its sole discretion.

10. Service availability

Roomify relies on third-party providers, including OpenAI, Supabase, Apple, cloud hosting providers, and other vendors. The Services may be interrupted, delayed, modified, suspended, or discontinued at any time. Roomify does not guarantee uninterrupted availability, uptime, or error-free operation.

11. Force majeure

Roomify shall not be liable for any delay, interruption, failure, or inability to provide the Services resulting from events beyond its reasonable control, including natural disasters, internet outages, cyberattacks, government actions, utility failures, labor disputes, cloud provider disruptions, third-party service interruptions, pandemics, wars, or other unforeseen events.

12. Intellectual property

The Services, software, source code, prompts, workflows, designs, trademarks, logos, trade names, branding, and related intellectual property are owned by Roomify, Avemtis Properties, LLC, or their licensors. Nothing in these Terms transfers ownership of any intellectual property rights. Users receive only a limited, non-exclusive, non-transferable license to use the Services as intended.

13. Copyright and IP complaints

If you believe content available through the Services infringes your copyright, trademark, or other intellectual property rights, please contact info@roomifyapp.ai. Roomify reserves the right to remove allegedly infringing content and terminate repeat infringers where appropriate.

14. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY. ROOMIFY DOES NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR AVAILABLE AT ALL TIMES, OR THAT AI OUTPUTS WILL MEET USER EXPECTATIONS OR COMPLY WITH MLS OR REGULATORY REQUIREMENTS.

15. Artificial intelligence disclosures

The Services utilize artificial intelligence and machine learning technologies. AI-generated outputs may contain inaccuracies, omissions, artifacts, distortions, or unexpected results. Users are solely responsible for reviewing, validating, and approving all outputs before publication, distribution, or commercial use. Unless otherwise stated in our Privacy Policy, customer-uploaded content is not used by Roomify to train third-party artificial intelligence models.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMIFY, AVEMTIS PROPERTIES, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. ROOMIFY’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY THE USER TO ROOMIFY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

17. Indemnification

You agree to defend, indemnify, and hold harmless Roomify, Avemtis Properties, LLC, its affiliates, officers, employees, contractors, and service providers from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services, your uploaded content, your violation of these Terms, or your violation of applicable laws, regulations, MLS rules, or third-party rights.

18. Electronic communications

By creating an account or using the Services, you consent to receive communications electronically, including notices, disclosures, updates, receipts, service announcements, and legal communications. Electronic communications satisfy any legal requirement that such communications be provided in writing.

19. Governing law; arbitration; class action waiver

These Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles. Before initiating formal proceedings, the parties agree to attempt good-faith informal resolution for thirty (30) days. Any dispute arising out of or relating to the Services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”), conducted in Dallas County, Texas before a single arbitrator. The parties waive any right to a jury trial. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY. THE PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE PROCEEDINGS. Nothing herein prevents either party from seeking injunctive relief for intellectual property or confidentiality violations.

20. Beta features

Roomify may offer beta, preview, experimental, or early-access features. Such features are provided on an “as is” basis and may be modified, suspended, or discontinued at any time without notice.

21. Changes to these Terms

Roomify may modify these Terms at any time. Material changes may be communicated through the App, Website, or email. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

22. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

23. Entire agreement

These Terms, together with our Privacy Policy and any policies referenced herein, constitute the entire agreement between the parties regarding the Services and supersede all prior understandings, communications, representations, or agreements relating to the Services.
